MEGG.AI Partner Program Public Offer

This is an English translation for convenience. If it differs from the Ukrainian version, the Ukrainian version prevails.

1. General Provisions

This document is a public offer (the "Offer") in accordance with Articles 633, 641, 642 of the Civil Code of Ukraine and governs participation in the MEGG.AI partner program.

Program Administrator: FOP Ulianova Tetiana Pavlivna. Services are provided through the MEGG.AI service: the app.megg.ai website and the @linktovideoua_bot Telegram bot (together, the "Service").

The Offer is accepted by clicking "Activate referral link" in the "Partners" section on app.megg.ai or in the "Partners" tab of the profile in the Telegram bot. Acceptance is automatically recorded with date and time in the system.

2. Nature of Rewards

Rewards are credited to the Partner's partner balance within the MEGG.AI internal system.

Internal rate: 1 point = 1 USD.

The Partner may use rewards in the following ways:

• ✅ Transfer to the main MEGG.AI balance — no minimum;
• ✅ Gift to another user — from $1;
• ✅ USDT withdrawal — from $50;
• ✅ Withdrawal to a FOP account — from $100, under a separate service agreement.

⚠️ Payouts to personal bank cards of individuals are not provided.

3. Earning Conditions

3.1. What earns rewards

The Partner earns rewards exclusively from actual balance top-ups of their referrals. Rewards are not earned for: registration; activity; use of free tools.

3.2. Program levels

• 🔹 Level 1 — 10% of the top-up;
• 🔹 Level 2 — 3% of the top-up;
• 🔹 Level 3 — 2% of the top-up.

📌 The maximum total reward per top-up is 15%, distributed among the participants of the referral chain.

3.3. Reward confirmation

Rewards become "Confirmed" 15 calendar days after the referral's top-up. Until then they are shown as "Pending".

3.4. Refunds and chargebacks

If a referral receives a refund or a payment is cancelled, the corresponding Partner reward is cancelled regardless of its status.

If a refund or chargeback occurs after the reward has been paid to the Partner, the corresponding amount is recovered from the Partner's nearest future rewards or by a separate request of the Administrator.

3.5. Changes to program terms

The Administrator may change the partner program terms and reward rates with 30 calendar days' notice via the Service (website or Telegram bot) or the @neurosvity channel.

📌 Changes apply only to new top-ups made after the effective date.

4. USDT Withdrawals

USDT withdrawals are made to the Partner's wallet on the TRC20 or TON network.

Terms:

• minimum withdrawal: $50;
• processing time: up to 5 business days;
• paid as the corresponding amount of USDT at 1 USDT = 1 USD.

⚠️ The Partner is fully responsible for the accuracy of the USDT wallet address and the selected network (TRC20/TON). Funds sent to a wrong address or network cannot be recovered.

The Partner is solely responsible for declaring and paying taxes related to virtual asset transactions under Ukrainian law.

5. Withdrawals to a FOP Account

Withdrawals to a FOP (individual entrepreneur) account are made under a separate service agreement.

Partner requirements:

• ✅ FOP of group 2 or 3 of the single tax;
• recommended KVED codes: 73.11 (advertising agencies), 70.21 (public relations), 63.11 (data processing), 63.99 (other information services).

Payout terms:

• minimum payout: $100;
• the agreement is sent after the first payout request;
• payment is made in UAH at the official NBU exchange rate on the day of payment.

The Partner is solely responsible for paying their own taxes and fees.

6. Prohibitions and Anti-Fraud

Prohibited:

• ❌ self-referral or creating additional accounts to earn rewards from one's own top-ups;
• ❌ artificial inflation of referrals;
• ❌ any fraudulent schemes aimed at obtaining undue rewards.

In case of reasonable suspicion of a violation, after an investigation, the Administrator may:

• suspend or terminate the Partner's participation in the program;
• cancel unpaid rewards.

7. Personal Data

By accepting the Offer, the Partner consents to the processing of personal data in accordance with the Law of Ukraine "On Personal Data Protection". The following may be processed: Telegram ID, username, email (if signing in with Google or email), activity statistics, USDT wallet address, FOP payout details. More in the MEGG.AI Privacy Policy.

8. Liability and Changes

The Administrator may:

• change the program terms with 30 days' notice;
• suspend the Partner's participation in case of violations;
• close the partner program completely with 30 days' notice.

Account deletion. If the Partner deletes their Account or the Account is deleted after 3 years of inactivity (MEGG.AI Public Offer, clauses 12.2–12.3):

• unpaid rewards are cancelled;
• the Partner's referrals are no longer attached to them.

To keep your rewards, withdraw them or transfer them to the balance and use them before deletion.

Limitation of liability. The Administrator is not liable for: indirect damages; lost profits; the Partner's expected income related to participation in the partner program.

9. Dispute Resolution

All disputes are resolved through a claims procedure by exchanging messages. Response time to a claim: 30 calendar days.

If no agreement is reached, the dispute is considered by a court at the Administrator's location: 📍 Odesa, Ukraine.
