MEGG.AI Public Offer (Terms of Service)

This is an English translation for convenience. If it differs from the Ukrainian version, the Ukrainian version prevails.

1. Definitions

1.1. Provider — individual entrepreneur (FOP) Ulianova Tetiana Pavlivna. Details are in section 14.

1.2. MEGG.AI Service (the "Service") — the megg.ai website, the app.megg.ai web application, the @linktovideoua_bot Telegram bot (the "Bot") and the mcp.megg.ai server for connecting AI assistants.

1.3. User — a person who has accepted this Offer and uses the Service.

1.4. Account — the User's account in the Service. Sign-in is via Telegram, Google or email (with a code from an email).

1.5. Balance — the record of funds the User has paid in advance for the Service. It is kept in US dollars (USD).

1.6. Generation — creation of an image, video, audio, text or other result by an artificial intelligence model (an "AI model") at the User's request.

1.7. Request — text, files, settings and other data the User provides for a Generation.

1.8. Result — what is created from a Request.

1.9. Gallery — the part of the Account where Results are stored.

1.10. External AI assistant — a third-party application (for example, Claude, ChatGPT, Cursor) that the User has connected to their Account.

1.11. Rates — the prices for the Service published in the Service.

2. General provisions

2.1. This document is a public offer (the "Offer") under Articles 633, 641 and 642 of the Civil Code of Ukraine. It is addressed to an unlimited number of persons.

2.2. The Offer is accepted by whichever of these happens first:

• signing in to an Account or registering in the Service (including the /start command in the Bot);
• topping up the Balance;
• using any tool of the Service.

2.3. Upon acceptance, the agreement is concluded in electronic form under the Law of Ukraine "On Electronic Commerce". It has the same force as a written agreement.

2.4. The Service may be used by persons aged 13 or older.

• Persons under 18 top up the Balance and run paid Generations only with the permission of their parents or other legal guardians.
• Parents or legal guardians may contact support (section 14) to block or delete a child's Account.

2.5. The "16+" section is available only after the User confirms they are 16 or older. The User guarantees that the answer is true.

2.6. The Privacy Policy is an integral part of this Offer.

2.7. Participation in the partner program is governed by the separate MEGG.AI Partner Program Public Offer.

3. Subject of the agreement

3.1. The Provider gives the User access to the tools of the Service, and the User pays for paid tools according to the Rates. The tools include:

• generation of images, video, music and speech;
• processing and enhancement of media files;
• an AI assistant that answers in text;
• other tools available in the Service.

3.2. Some tools are free. Their list and terms of use may change.

3.3. The Service runs on AI models of third-party developers. The Provider may add, change, replace and disable AI models and tools.

3.4. The Provider strives to keep the Service running around the clock but does not guarantee uninterrupted operation. The Service may be temporarily unavailable due to maintenance, failures of AI model or hosting providers, power outages or other circumstances.

4. Account

4.1. The User signs in to the Account via Telegram, Google or email. All methods can be linked to one Account.

4.2. The User is responsible for the security of their Telegram and Google accounts and their mailbox. Actions performed from their Account are considered actions of the User.

4.3. It is prohibited to:

• transfer the Account to other persons;
• create several Accounts to bypass the limits of the Service or to receive bonuses again.

4.4. The User may delete the Account themselves: in the Profile on app.megg.ai or in the Bot's Profile (Settings tab) → "Danger zone" → "Delete account". The consequences of deletion are described in clause 12.2.

5. Prices, Balance and payment

5.1. Prices are in US dollars. The price depends on the AI model and the Generation settings (for example, duration, quality, number of results). The Service shows the price of each Generation before it starts.

5.2. The User pays in advance by topping up the Balance:

• through the payment provider WayForPay, by bank card or another method available on the payment page;
• in US dollars; currency conversion and fees may be applied by the User's bank under its own rules;
• for one of the amounts offered on the "Balance" page or for a custom amount within the limits shown there.

5.3. Funds are credited to the Balance as soon as the payment provider confirms the payment.

5.4. The cost of a Generation is debited from the Balance when it starts, in the amount of the price shown.

5.5. The cost of AI assistant answers depends on the amount of text and is debited after the answer.

• If the Balance is insufficient, a debt arises. It is repaid from the next top-up.
• Until the debt is repaid, paid tools may be unavailable.

5.6. Bonus funds — the welcome bonus, promo codes, gifts and other credits from the Service:

• cannot be exchanged for money;
• are not refundable;
• may have their own terms and expiry.

5.7. The Balance is not electronic money:

• no interest accrues on it;
• it cannot be transferred to another person except by the means provided by the Service;
• it is valid while the Account exists (clauses 12.2 and 12.3).

5.8. The Provider may change the Rates. A new price applies to Generations started after the change. Funds on the Balance are kept in US dollars.

6. Generations and Results

6.1. Results are created by an AI model and may differ each time.

• The Provider does not guarantee that a Result will meet the User's expectations or be accurate or unique.
• A repeated Generation is paid separately.

6.2. If a Generation ends with an error and there is no Result, its cost is automatically returned to the Balance. This also applies when the AI model rejected the Request. If a Result has been delivered, its cost is not refunded, even if the User is not satisfied with the Result.

6.3. AI models have their own content filters and may reject Requests. The Provider is not responsible for the decisions of these filters.

6.4. Results are stored in the Gallery. The User may delete them. We recommend keeping your own copies of important Results. Intermediate results (drafts) are kept for the period shown in the interface.

6.5. Gallery files of a User who has not used the Service for more than 6 months may be deleted from storage.

• Before deletion, the Provider warns the User via Telegram or email at least 14 days in advance.
• The Account and the Balance are kept.

7. Rights to Requests and Results

7.1. The User guarantees that they have the right to use everything they upload to the Service: texts, photos, videos, audio, images and voices of people. In particular, they have the consent of the persons whose images or voices are used.

7.2. The Provider does not claim property rights to Results and does not restrict the User's lawful use of them, including commercial use. The User takes into account that:

• a Result created by an AI model may not be protected by copyright;
• a Result may be similar to results of other people;
• some AI models have their own rules for using results.

7.3. The User grants the Provider a free, non-exclusive permission to store and process Requests and Results and to pass them to AI model providers. This permission applies only to providing the Service. The Provider:

• does not train AI models on the User's Requests and Results;
• does not publish them without the User's consent.

7.4. Some tools, such as downloading media from social networks in the Bot or removing watermarks, the User applies only:

• to materials they have rights to;
• or for personal non-commercial use within the law.

8. Prohibited use

8.1. It is prohibited to create, upload or distribute with the Service:

• any sexual materials involving minors or that sexualize minors;
• intimate images of real people without their consent;
• deepfakes made to deceive, defame or harass;
• materials that infringe copyright, trademark or other rights of third parties;
• calls for violence, terrorism, extremism, hate speech, propaganda of war and of the aggressor state;
• materials for fraud or impersonation;
• malware and spam.

8.2. It is prohibited to:

• bypass the limits and filters of the Service and AI models;
• access the Service in an automated way outside the provided interfaces;
• resell access to the Service without the Provider's written consent.

8.3. In the "16+" section it is also prohibited to create materials depicting real persons or minors.

8.4. If the User violates this section, the Provider may:

• reject the Generation;
• restrict or block the Account;
• pass information to law enforcement if the law requires it.

9. External AI assistants

9.1. The User may connect an External AI assistant to the Account through the MEGG.AI consent page. A connected assistant can:

• see the list of AI models, the Rates and the Balance;
• view the Gallery;
• start Generations paid from the Balance.

The assistant cannot delete Results from the Gallery.

9.2. Generations started by a connected assistant are considered actions of the User.

• Generations cheaper than the confirmation threshold the assistant may start on its own, within an hourly limit.
• More expensive Generations it starts only after the User has confirmed the price.
• The current threshold, limits and safeguards are published on app.megg.ai/mcp.

9.3. The User pays the developer of the assistant for the assistant itself (subscription, tokens). The Service charges only for Generations according to the Rates.

9.4. The User may revoke the connection or pause external runs at any time: Profile → "Connected assistants".

9.5. The Provider is not responsible for the operation of External AI assistants, their errors or terms of use.

10. Refunds

10.1. The cost of Generations that ended with an error is returned to the Balance automatically (clause 6.2).

10.2. Unspent funds from a top-up can be refunded within 14 days of the payment date:

• upon a request to support (section 14);
• to the card used for payment, through the payment provider, within 10 business days after approval (crediting to the card depends on the bank);
• excluding bonus funds (clause 5.6).

After 14 days, funds are not refunded but remain on the Balance while the Account exists. A refund must be requested from support before the Account is deleted.

10.3. An erroneous or duplicate card charge is refunded in full.

10.4. In a refund request, please include:

• how you sign in to the Account (Telegram, Google or email);
• the payment date and amount;
• the order number, if available.

10.5. If the User disputes a payment through the bank (chargeback) without contacting support, the Provider may suspend the Account until the dispute is resolved.

11. Liability

11.1. The Service is provided "as is". The Provider is not liable for:

• failures and limits of AI model providers, Telegram, Google, payment systems and the Internet;
• the content of Results and the consequences of their use;
• indirect damages and lost profits.

11.2. The Provider's liability to the User is limited to the cost of the service the claim concerns.

11.3. The User is responsible for their Requests and for how they use Results. If the User's violation of third-party rights causes damages to the Provider, the User compensates them.

11.4. The parties are released from liability if force majeure prevented them from fulfilling their obligations. This includes, in particular:

• hostilities;
• power outages;
• cyberattacks;
• decisions of authorities.

12. Changes to the Offer and termination

12.1. The Provider may change the Offer.

• A new edition is published on the website with its date.
• The Provider notifies about material changes in the Service at least 7 days in advance.
• If the User continues to use the Service, they agree to the new edition.

12.2. The User may stop using the Service and delete the Account at any time (clause 4.4).

• Before deletion, the Service asks for confirmation twice and shows what will be lost.
• Deletion is final; the Account cannot be restored.
• Together with the Account, the Balance (including bonus funds and unpaid partner rewards), the Gallery and other data are deleted as described in the Privacy Policy.
• Unspent funds are not refunded after deletion. They can be refunded only under section 10 — before deletion.

12.3. If the User has not used the Service for 3 years, the Provider may delete the Account together with the Balance.

• Use means signing in to the website, actions in the Bot, Generations, the AI assistant and top-ups.
• Before deletion, the Provider warns the User via Telegram or email at least 30 days in advance. If the User uses the Service before the deletion date, the Account is kept.
• The period matches the general limitation period (Article 257 of the Civil Code of Ukraine).

12.4. The Provider may stop the Service completely by notifying Users at least 30 days in advance. In that case, unspent funds (excluding bonus funds) are refunded upon request, regardless of the time since payment.

13. Disputes

13.1. The agreement is governed by the law of Ukraine.

13.2. Disputes are resolved through negotiation. A claim is sent to the support email or Telegram. The Provider responds within 30 calendar days.

13.3. If no agreement is reached, the dispute is considered by a court in accordance with the law of Ukraine.

13.4. This Offer does not limit consumer rights granted by mandatory rules of the law of the User's country of residence.
